These Terms of Service (“Terms”) govern your use of web development services provided by Deen Pixel (“we,” “our,” or “us”), a web development service based in Lagos, Nigeria.
By engaging our services, you (“Client” or “you”) agree to be bound by these Terms.
1. Service Description
Deen Pixel provides custom web development services including website design, development, and related digital solutions. All projects are tailored to meet specific client requirements as outlined in individual project agreements.
2. Payment Terms
Payment Structure
- Initial Deposit: 70% of the total project cost is required before work begins
- Final Payment: 30% of the total project cost is due upon project completion
Payment Policy
- All payments must be made as specified in your project agreement
- Payment methods and schedules will be outlined in your individual contract
- Late payment may result in project suspension until payment is received
3. No Refund Policy
All payments are non-refundable. Once payment is made, we commit to completing your project as agreed. This policy ensures we can dedicate the necessary resources and time to deliver quality work.
4. Project Completion Commitment
When payment is received, we guarantee that all agreed-upon work will be completed. If unforeseen circumstances arise that prevent completion within the original timeline, the client must provide a reasonable extension period to allow for project completion.
5. Client Responsibilities
Information Provision
You agree to provide all necessary information, materials, and access required for project completion, including but not limited to:
- Website content and copy
- Images, logos, and graphics
- Social media links and profiles
- Login credentials (when required)
- Brand guidelines and preferences
- Any other materials requested by Deen Pixel
Timely Response
You must respond promptly to our requests for information or materials. Delays in providing requested items may impact project timelines.
6. Project Delays and Payment Obligations
Client-Caused Delays
If project delays are caused by the client’s failure to provide requested information or materials after reasonable notice:
- The client has no right to withhold the remaining 30% balance payment
- The project timeline will be adjusted accordingly
- Deen Pixel reserves the right to prioritize other projects during delay periods
Designer-Caused Delays
If project delays are caused by Deen Pixel:
- The client has the right to withhold the 30% balance payment until completion
- We will provide regular updates on progress
- Extended timelines will be communicated in advance when possible
7. Revisions and Client Satisfaction
You have the right to request reasonable revisions to ensure the final product meets your satisfaction. However:
- Revisions must be related to the original project scope
- Significant changes beyond the agreed scope may incur additional charges
- All revision requests should be submitted in writing
- We aim to accommodate reasonable revision requests promptly
8. Project Scope and Changes
Any changes to the original project scope must be agreed upon in writing and may result in additional charges. We will provide estimates for scope changes before proceeding with additional work.
9. Intellectual Property
Upon full payment:
- You receive full ownership of the completed website
- We retain the right to showcase the work in our portfolio
- Any pre-existing intellectual property remains with respective owners
10. Communication and Support
We maintain open communication throughout the project via email and agreed-upon communication channels. Response times and support details will be specified in individual project agreements.
11. Limitation of Liability
Deen Pixel’s liability is limited to the total amount paid for services. We are not liable for indirect, consequential, or incidental damages arising from our services.
12. Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet failures, or other force majeure events.
13. Governing Law
These Terms are governed by the laws of Nigeria. Any disputes will be resolved through amicable discussion or, if necessary, through appropriate legal channels in Lagos, Nigeria.
14. Modifications
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new effective date. Continued use of our services constitutes acceptance of modified Terms.
15. Termination
Either party may terminate the service agreement with written notice. In case of termination:
- Payment for work completed up to termination date is due
- All materials and work completed will be delivered upon full payment
- No refunds will be provided for payments already made
16. Entire Agreement
These Terms, along with individual project agreements, constitute the entire agreement between you and Deen Pixel regarding our services.
